General Terms and Conditions – Noya Tools
1. General
These general terms and conditions apply to all quotes, orders, agreements, sales, and deliveries from Noya Tools, both via our webshop and in our physical store.
By placing an order or entering into an agreement with Noya Tools, the customer declares to have taken note of these general terms and conditions and agrees to them, as far as this is legally permitted.
Deviations from these terms are only valid if they have been accepted in writing by Noya Tools in advance.
2. Products and product information
Noya Tools sells original products from recognised brands, manufacturers, and suppliers.
We take the necessary care to ensure a correct representation of product information, technical specifications, images, and descriptions. However, images may be illustrative and limited deviations in colour, packaging, execution, or accessories may occur.
Evident mistakes, technical errors, or material errors in product information do not bind Noya Tools.
3. Prices
Unless expressly stated otherwise, prices for consumers are displayed including VAT.
Prices for professional or business customers may, where clearly indicated, be displayed excluding VAT.
For business customers within the European Union with a valid VAT number, if the legal conditions are met, the applicable scheme for intra-community supplies can be applied.
Noya Tools reserves the right to change prices, offers, and product information. A price change does not affect already definitively confirmed orders, except in the case of obvious errors or contrary legal provisions.
4. Orders and formation of the agreement
An order becomes definitive once it has been accepted by Noya Tools and, if prepayment is required, the payment has been successfully received.
Noya Tools reserves the right to refuse or cancel an order when there is a justified reason for doing so, for example, in the case of an obvious pricing error, suspicion of fraud, incorrect customer details, payment issues, or unavailability of the product.
If an already paid order cannot be fulfilled and is cancelled, the paid amount involved will be refunded according to the applicable legal rules.
5. Payment and retention of title
The customer must pay the amount due according to the payment terms stated in the order, quote, or invoice.
Unless otherwise agreed in writing, payment must be made in full via a payment method offered by Noya Tools.
The delivered goods remain, to the extent permitted by law, the property of Noya Tools until the customer has fully paid all amounts due in relation to the relevant goods.
6. Delivery
Noya Tools aims to process and deliver orders as quickly as possible.
Specified delivery and shipping times are indicative, unless a binding delivery time has been expressly agreed in writing. Delays caused by carriers, suppliers or other circumstances beyond the reasonable control of Noya Tools may result in a longer delivery time.
The statutory rights of consumers in the event of a late or non-delivery remain unaffected.
For consumers, the risk of loss or damage to the goods passes in accordance with the applicable legal provisions, particularly when the consumer or a third party designated by them has physically taken receipt of the goods, subject to legal exceptions.
The customer is responsible for providing correct and complete delivery information.
7. Warranty and defects
The applicable statutory warranty rules apply to our products. Any additional commercial or factory warranties from the manufacturer apply according to the terms of the relevant manufacturer.
Warranty does not cover damage resulting from normal wear and tear, improper or careless use, insufficient maintenance, accident, external damage, use contrary to the manufacturer's instructions or unauthorised modifications or repairs by third parties, to the extent permitted by law.
In the event of a defect, the customer must contact Noya Tools and, if requested, present or return the product along with the proof of purchase or invoice.
Noya Tools or the relevant manufacturer may examine the product to determine the cause of the defect and the applicability of the warranty.
The statutory warranty rights of consumers are not limited by any manufacturer warranty conditions.
8. Right of withdrawal and returns
Consumers who make a distance purchase, for example via our webshop, generally have the statutory right of withdrawal of 14 days, subject to the legally defined exceptions.
The consumer must inform Noya Tools of their decision to withdraw from the agreement within the applicable period.
Returned products must be handled carefully and, as far as reasonably possible, returned complete and in their original condition and packaging.
The consumer may assess a product as would reasonably be possible in a physical store. If the product was used beyond what is necessary to establish its nature, characteristics, and functioning, the consumer may be liable for the resulting decrease in value.
For products that are excluded from the right of withdrawal by law, there is no right of withdrawal.
For purchases by professional customers or purchases in the physical store, there is no automatic statutory right of withdrawal, unless Noya Tools agrees otherwise in writing or the law provides otherwise.
9. Liability
Noya Tools is liable in accordance with applicable Belgian law.
As far as legally permitted, Noya Tools is not liable for indirect damage, consequential damage, loss of profit, or damage resulting from incorrect, unsafe, or improper use of products.
The customer is responsible for complying with the safety regulations, usage instructions, and technical guidelines of the manufacturer.
No provision in these general terms and conditions limits or excludes liability where such limitation or exclusion is not permitted under applicable law.
10. Privacy and personal data
Noya Tools processes personal data in accordance with applicable privacy legislation, including the General Data Protection Regulation (GDPR).
Personal data may be processed for the execution of orders, payments, deliveries, invoicing, warranty handling, customer service, and other legitimate business purposes.

11. Force majeure
Noya Tools is not liable for delays or failures in the performance of an agreement when these are the result of circumstances that are reasonably beyond its control.
These may include, among other things: strikes, transport problems, serious technical failures, fire, natural disasters, government measures, war situations, import or export restrictions, and serious delivery problems with manufacturers or suppliers.
If the force majeure situation persists for an extended period, the further rights and obligations of both parties will be determined in accordance with applicable law.
12. Complaints
Complaints regarding an order, delivery, invoice, or product can be reported to Noya Tools via the available contact details.
We ask customers to describe a complaint as clearly as possible and, if relevant, to include the order or invoice number, proof of purchase, and photos or other evidence.
Noya Tools will investigate and address the complaint as soon as possible.
13. Intellectual property
The content of the Noya Tools website, including texts, logos, images, graphic elements, and proprietary product information, may not be copied, distributed, or commercially used without prior permission, except as permitted by law.
Trademarks and logos of manufacturers remain the property of their respective rights holders.
14. Applicable law and disputes
Agreements with Noya Tools are governed by Belgian law, subject to mandatory legal protection rules applicable to consumers.
Disputes will be submitted to the court competent under Belgian law.
For professional customers, it may be determined, to the extent permitted by law and legally agreed, that disputes fall under the jurisdiction of the courts of the judicial district of Antwerp.
15. Severability
If one or more provisions of these general terms and conditions are found to be wholly or partially invalid, void, or unenforceable, this shall not affect the validity of the remaining provisions.
The relevant provision shall, to the extent possible, be replaced or applied in a manner that closely approximates its original purpose within the limits of applicable law.
